1. General terms
https://unitedpharmagroup.ca/ (the “Site”) is owned by United Pharma Group (UPG) Inc. (“UPG”, “we”, “us”, “our”).
These Terms and Conditions (the “Terms”) explain how our Site may be used. Your use of our Site is subject to your acceptance of the following Terms so please read them carefully before using the Site. 2. Member Accounts
The username and password provided to you for your “Member Account” on our Site are personal to you. You must always keep that information secure and confidential. You agree not to disclose your username and password to any third party. You agree that you are solely responsible for use of your Member Account by any person using your username and password. You will be held liable for any and all direct or indirect damages arising from any and all activity conducted on this Site that can be linked or traced back to your Member Account, username or password. You further fully indemnify us against any claims resulting out of your failure to maintain the confidentiality of your username and password. Be sure to record your username and password in a secure place.
3. Trademarks and copyright
Notwithstanding anything else in these Terms, UNITED PHARMA GROUP, UPG, the UPG design marks and the related words and logos are our trademarks or trade names. Nothing in these Terms or on the Site should be construed as granting any license or right for you to use any such marks or names in any way. We expressly reserve all our trademark rights.
The names of other companies, products, and services referred to on the Site may be trademarks or trade names of their respective owners. Any unauthorized use of our trademarks or trade names or those of third parties is strictly prohibited.
The material on this Site, including but not limited to the written copy on the Site, newsletters, photographs, graphics, and any other materials in which copyright may subsist [collectively the “Content”] is protected by copyright, as is the arrangement of the Content. UPG WILL NOT, UNDER ANY CIRCUMSTANCE BE LIABLE FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO DISEASE, DETERIORATION OF HEALTH, ILLNESS, INJURY OR DEATH, LOSS OF BUSINESS OR LOSS OF PROFITS CAUSED BY, INCLUDING BUT NOT LIMITED TO, USE OF THE SITE, ANY FAILURE OF PERFORMANCE, INABILITY TO USE THE SITE, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, OR LINE FAILURE, EVEN IF UPG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
BY USING THE SITE, YOU AGREE TO INDEMNIFY UPG FROM ANF AGAINST ANY AND ALL LIABILITY AND DAMAGES INCLUDING LEGAL FEES AND EXPENSES ARISING FROM USE OF THE SITE AND ITS CONTENT.
YOU ACKNOWLEDGE AND AGREE THAT YOU AND UPG HAVE ENTERED INTO THIS AGREEMENT IN RELIANCE UPON THE WARRANTIES, DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN, AND THAT THEY FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND UPG.
WITHOUT LIMITING THE FOREGOING, YOU ASSUME ALL RESPONSIBILITY AND LIABLITY FOR ANY DECISION MADE IN CONCERT WITH THE USE OF THIS SITE AND THE INFORMATION AND CONTENT THEREON.
10. Release
You agree that you hereby remise, release, indemnify, discharge, and forever hold UPG harmless from any claims whatsoever arising by any reason including but not limited to any disease, deterioration of health, illness, injury and death to any person, or for damages of any kind to, or loss of any of your property resulting from or arising from use of the Site.
11. Severability
If any provision of these Terms is found or held to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. Such a determination shall not affect the validity and enforceability of any other remaining provisions in these Terms.
12. Governing Law
Any disputes arising out of or relating to these Terms, or use of our Site will be resolved in accordance with the laws of the Province of Ontario. By agreeing to these Terms, you hereby irrevocably consent to the exclusive jurisdiction of the Courts of the Province of Ontario in the City of Toronto.
